Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and HelpAI Global Inc. ("HelpAI", "we", "us") governing your access to and use of our websites, applications, and AI agent platform (the "Services").

1. Agreement to these Terms
By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to it. If you do not agree, do not use the Services. A separate written agreement signed with HelpAI (e.g., an order form or Master Services Agreement) prevails over these Terms if it conflicts.
2. Eligibility
You must be at least the age of majority in your jurisdiction (and at least 16) and legally able to enter into a contract to use the Services. The Services are not available to anyone previously suspended or removed, or where prohibited by law or sanctions.
3. Accounts, workspaces, and security
- You are responsible for the accounts, workspaces, members, prompts, files, agents, deployments, API keys, and other content you create or manage.
- Keep your login credentials and API keys secure, and only grant workspace access to people who should have it. You are responsible for activity under your account and members you invite.
- Notify us promptly at support@help.ai of any unauthorized access or security concern.
4. Acceptable use
- Do not use the Services to violate law, infringe intellectual property or privacy rights, or breach any third-party or platform rules.
- Do not upload or generate unlawful, harmful, deceptive, or infringing content, or content you lack the rights to.
- Do not attempt to breach security, probe or scan systems, bypass usage limits or access controls, reverse engineer, or disrupt the Services.
- Do not use the Services to build a competing product, to send spam, or to process data you are not permitted to process.
- Do not misrepresent AI-generated output as human-authored where doing so is deceptive or unlawful; disclose AI use as required by applicable law.
5. Your content and license to operate
As between you and HelpAI, you retain all rights to the content you upload, configure, or generate through the Services ("Customer Content"). You grant HelpAI a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide, secure, and support the Services and as you direct (for example, running your agents and integrations). We do not use Customer Content to train generalized or foundation AI models. You are responsible for Customer Content and for having the necessary rights and consents for it, including for any personal data of your end users.
6. Third-party integrations
The Services let you connect third-party accounts and services (for example, Google, Meta/Facebook, GitHub, and Slack) via OAuth. By connecting an integration, you authorize HelpAI to access and use data from that service within the scopes you approve, solely to operate the feature you enabled, and you agree to comply with that provider's terms. Third-party services are provided by their own operators; we are not responsible for their availability, content, or acts, and your use of them is governed by their terms. You can disconnect an integration at any time, which revokes our access going forward.
7. AI-generated output
The Services use artificial intelligence to generate responses and other output. AI output may be inaccurate, incomplete, or unsuitable, and is provided for your evaluation, not as professional advice. You are responsible for reviewing output before relying on, publishing, or acting on it, and for ensuring your use complies with applicable law. HelpAI does not warrant that output is accurate, original, or fit for any particular purpose.
8. Plans, fees, and billing
- Paid plans, credits, renewals, invoices, and applicable taxes are described at purchase and managed through our billing surfaces and payment processors.
- Fees are charged in advance and, unless required by law or stated otherwise, are non-refundable. Plans renew automatically until cancelled.
- You authorize us and our payment processors to charge your payment method for amounts due. You are responsible for keeping payment information current and for all taxes other than taxes on our income.
- We may change pricing or plans prospectively, with notice for the next billing term.
9. Intellectual property
HelpAI and its licensors own all rights in the Services, including software, models integration, designs, and trademarks. Except for the limited right to use the Services under these Terms, no rights are granted to you. You may not use our trademarks without permission.
10. Feedback
If you send us feedback or suggestions, you grant HelpAI a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
11. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that output will be accurate or reliable. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.
12. Limitation of liability
To the maximum extent permitted by law, HelpAI and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Services. Our total aggregate liability for all claims relating to the Services will not exceed the greater of the amounts you paid to HelpAI for the Services in the 12 months before the event giving rise to the claim, or CAD $100. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnification
You will defend, indemnify, and hold harmless HelpAI from and against claims, damages, and costs (including reasonable legal fees) arising from your Customer Content, your use of the Services, your integrations, or your breach of these Terms or applicable law.
14. Term, suspension, and termination
These Terms apply while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or fail to pay, and we may discontinue features for reliability, safety, legal, or billing reasons. On termination, your right to use the Services ends; sections that by their nature should survive (including content licenses you granted for feedback, IP, disclaimers, liability limits, and indemnities) survive.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Subject to any mandatory rights you have as a consumer, the courts located in Ontario, Canada have exclusive jurisdiction over disputes relating to these Terms or the Services, and you consent to that jurisdiction and venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Changes to these Terms
We may update these Terms as the Services evolve or the law changes. We will post the updated Terms with a new "Last updated" date and, for material changes, provide additional notice where required. Your continued use after changes take effect means you accept the updated Terms.
17. General
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Severability: if any provision is unenforceable, the rest remains in effect.
- No waiver: failure to enforce a provision is not a waiver.
- Entire agreement: these Terms and the Privacy Policy (plus any signed agreement) are the entire agreement between you and HelpAI regarding the Services.
